Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern access to and use of products and services provided by Construction Risk AI, Inc. (“Construction Risk AI,” “CR AI,” “we,” “our,” or “us”). By accessing or using our services, you agree to these Terms. If you are using the services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

2. Services

CR AI provides risk analytics, reporting, scoring, dashboards, data processing, and related services intended for commercial construction stakeholders (the “Services”). The Services may evolve over time.

4. Accounts and Security

If the Services require an account, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to promptly notify us of any suspected unauthorized access or security incident involving your account.

5. Customer Data and Permissions

“Customer Data” means data you or your authorized users provide to CR AI or authorize CR AI to access (including via integrated systems). You represent and warrant that you have all rights and permissions necessary to provide or authorize access to Customer Data.

You retain ownership of Customer Data. We may process Customer Data to provide, secure, and improve the Services, including generating analytics, scores, and reports. We may use de-identified and aggregated data for product improvement, benchmarking, and research, provided it does not identify you or your end customers.

6. Confidentiality

Each party may receive confidential information from the other. Each party agrees to protect the other’s confidential information using reasonable care and to use it only to perform under these Terms. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without a duty of confidentiality.

7. Intellectual Property

CR AI and its licensors own all right, title, and interest in and to the Services, including software, models, methodologies, scoring frameworks, documentation, and all related intellectual property. Except for the limited rights expressly granted in these Terms, no rights are granted to you.

8. Third-Party Services

The Services may interoperate with third-party services (e.g., data sources, cloud providers, integrations). Your use of third-party services is governed by their terms. We are not responsible for third-party services.

9. Disclaimers

THE SERVICES AND ANY REPORTS, SCORES, OR ANALYTICS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CR AI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

CR AI’s outputs are decision-support tools and do not constitute legal, underwriting, actuarial, or professional advice. You are responsible for your decisions and compliance obligations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CR AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CR AI’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO CR AI FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Term and Termination

These Terms are effective when you first use the Services and continue until terminated. We may suspend or terminate access to the Services if we reasonably believe you have violated these Terms or if necessary to protect the security or integrity of the Services.

Upon termination, your right to use the Services will cease. Sections that by their nature should survive will survive, including Confidentiality, Intellectual Property, Disclaimers, Limitation of Liability, and Governing Law.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you (for example, by posting on our website). Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws rules.
